What this is
What is monetisation, in one paragraph?
An asset owner holds something valuable that they do not want to sell: a certified gemstone, allocated metal, a building. Monetisation raises working capital against that asset without a sale. The asset is appraised and placed into a ring-fenced compartment of DHF Capital S.A., a conservative fraction of its appraised value is funded by investors, and DHF Capital trades that capital. The owner keeps the asset. You provide the funding.
What am I actually buying?
Notes issued by one ring-fenced compartment of DHF Capital S.A., each with its own ISIN. You are not buying the asset itself, a share of DHF Capital, or a unit in a fund. Your subscription agreement is the definitive statement of what you hold.
What does ring-fenced mean?
Luxembourg securitisation law lets a company create compartments that stand apart from one another. The assets and liabilities of one compartment are separate from every other compartment and from the company's own estate. What happens in the gold compartment does not reach into the emerald compartment.
Who is DHF Capital?
DHF Capital S.A. is a Luxembourg asset management and securitisation company, registration number B250882, at 21 rue de Glesener, L-1631 Luxembourg. It runs a range of funds and fixed income products and administers assets for institutions and private clients. On this platform it is the trading party.
Getting access
Why can I not just sign up?
This is not an offering to the public and it is not open to retail investors. Every application is read by a person before any compartment detail is shown. That is a regulatory position, not a marketing tactic.
How long does approval take?
Usually up to two business days for access. Identity verification takes a further one to three business days once every document has arrived. Missing or unreadable documents are the usual cause of delay.
Can I apply as a company or a family office?
Yes. Choose the entity option at the first step. Entity applications need more paperwork: a register extract dated within three months, the articles, the ownership chain, and identity documents for every beneficial owner above 25% and every authorised signatory.
Do you accept U.S. investors?
Yes. Tick the U.S. person box on the application. It does not block anything, it lengthens your document pack: we will also ask for a Form W-9 and evidence of accredited investor status.
Why do you need my source of funds?
Anti-money-laundering law requires it of any Luxembourg financial institution, and it is not optional for us or for you. A statement plus supporting evidence, such as a sale contract, an audited account, or a payslip history, is normal.
Reservations
What is a reservation?
A hold on capacity in one compartment while your identity check is finishing. We take that amount out of the compartment and nobody else can subscribe to it for three working days. No money moves and you are not committed to subscribe.
Why can I not cancel a reservation?
Because a reservation you could cancel and re-take is a reservation you could hold forever, and the capacity you are sitting on is capacity another investor cannot have. One per compartment, for the life of your account, and it runs its course. That is also why we ask you to confirm it deliberately.
What happens when it expires?
The capacity goes back into the compartment and the page says the reservation expired. You cannot take another one on that compartment, but you can still subscribe normally once your identity check is approved, if there is room left.
Do weekends and holidays count?
No. Three working days means three working days. The countdown skips weekends and the Luxembourg public holidays in our calendar, so a reservation taken before a long weekend is not quietly shortened.
Subscribing and paying
What happens after I press Invest?
It becomes a request, not a subscription. We review it, then send you a subscription agreement through DocuSign. Once we have your signed copy back, and only then, we send payment instructions in a separate message. Nothing is binding until both parties have signed.
Why are the agreement and the bank details two separate emails?
Because a signed contract and a set of bank details arriving together is exactly the shape of an invoice fraud. Verify the account by telephone before you send anything. Call +352 2 786 6577 and ask for the transfers desk. We will never send you revised bank details by email alone.
What is the minimum?
USD 100,000 across the platform, though an individual compartment can set a higher minimum and some do. The figure that applies is on each compartment page. Everything on the platform is denominated in US dollars.
Can I subscribe for less than I reserved, or more?
Yes, either way, as long as you stay above the compartment minimum and within what is still available. The reserved amount is pre-filled as a convenience, not as a commitment.
After you have invested
How long does a compartment run?
It varies by compartment and is stated on each one, commonly between one and five years. The term starts on the day the compartment is fully funded, not on the day you subscribe, so the maturity date is the same for every investor in it.
When do I get paid?
That depends on the compartment. Some distribute monthly, some quarterly, some annually, and some only at the end of the term. The schedule is on the compartment page and in your subscription agreement.
What is the NAV figure on my holdings?
Net asset value per unit. Every compartment opens at 100.00 on the day trading starts, and we record one figure a month after that. It is a record of what has happened, not an indication of what will happen next. Months can be negative.
Can I get my money out early?
Not as a matter of right. These are fixed-term compartments and there is no redemption window and no secondary market. Treat the capital as committed for the full term. If your circumstances change, talk to us, but start from the assumption that the answer is no.
What happens at the end of the term?
The compartment is wound down according to its documentation and the proceeds are distributed. We will write to you before that point with the timetable.
Risk, and the honest answers
Is my capital guaranteed by the asset?
No. The asset is real, appraised and held, and only a fraction of its value is monetised, which is meaningful. It is not a guarantee. The capital is deployed in financial markets and can be lost in part or in full.
What returns can I expect?
We do not tell you, and you should be wary of anyone who does. DHF Capital does not offer, target or guarantee any rate of return on this platform. The illustration in the portal exists so you can understand how a result would be divided, using a rate you choose yourself. It is not a forecast.
What happens if the trading loses money?
There is less to distribute, and there may be nothing to distribute. The performance fee applies to results, so a bad month costs DHF Capital its fee, but that does not make you whole. Losses are borne by the compartment.
Is this regulated, and is it advice?
DHF Capital S.A. is a Luxembourg securitisation company governed by the law of 22 March 2004 on securitisation. Nothing in this portal is investment advice or a personal recommendation. Take your own advice before you commit capital.
The portal itself
Are my documents safe?
They are stored inside the EU, never at a public web address, and are readable only by you and by DHF Capital staff reviewing your file. We never send you a password by email and nobody here can see yours.
I cannot get in.
Use the forgotten password link on the login page. It sends a single-use link that expires after three days. If the address on your account has changed, write to the address on the contact page and we will sort it out by hand.
There is nothing on the platform that suits me.
Use Request a compartment in the portal. Tell us the amount, how often you want paying and over what term, and someone will call you. We bring assets onto the platform on request, so what you want may simply not exist yet.
